Terms & Conditions

Last updated: 3 November 2026

1. Definitions and acceptance

“Company” means Innovation Cleverness Elegance Co. (ICE), CR 7053594102. “Client” means anyone who requests or contracts our services. “Services” means the services and packages agreed in writing.

By using the website, requesting services or paying any amount, the Client acknowledges reading and accepting these Terms in full; they form an integral part of any offer, contract or invoice. In case of conflict, the signed written contract or offer prevails, then these Terms.

2. Scope of services

Services are performed only within the scope set out in the written offer or contract; anything beyond is an additional request priced and approved in writing before work begins.

The website gives a general description of services; each project’s scope is determined after studying it, including storage, whose scope depends on product quantity and size.

3. Pricing and payment

Prices are in Saudi riyals and include VAT unless stated otherwise. Prices shown on the website may change for new orders without notice.

The Complete Foundation Package is paid in advance or in instalments agreed in writing; the Monthly Subscription is paid in advance at the start of each month.

The Company need not start or continue work before the due payment is made, and may suspend services, withhold deliverables and withdraw its access until full payment, without liability for resulting damage.

Amounts paid are non-refundable once work begins except as expressly stated in the contract; any refund accounts for work completed, effort expended and costs paid to third parties.

Instalment options through Tabby, Tamara or others are subject to the provider’s terms and approval, and the Company is not responsible for refusal or delay.

4. Client obligations

Provide information, content, access and approvals in good time; the Client is responsible for their accuracy and for owning or being licensed to use them.

Ensure its business and products are lawful, licensed and compliant with law and platform policies; the Company may refuse or stop any work that is not, without compensation.

Keep login credentials confidential and bear responsibility for any change made by it or its delegates to the store or accounts after handover.

5. Timelines and delays

Stated dates are estimates and run from payment of the first instalment and receipt of complete information, materials and access from the Client.

The Company is not liable for delay caused by the Client, repeated requests, scope changes or third parties, and timelines extend by the length of the delay.

6. Revisions and acceptance

Each project includes a reasonable number of revision rounds stated in the offer; further rounds are priced.

Work is deemed accepted if the Client gives no written comments within 5 business days of receiving it or actually using it, whichever is earlier; later comments are separate change requests.

7. Intellectual property

Ownership of final deliverables made for the Client (such as approved identity and designs) transfers to it after full payment of all dues; until then it has a limited temporary licence.

The Company’s tools, templates, methodologies, know-how and any pre-existing, public or third-party-licensed components remain with their owners and do not transfer.

The Company may refer to the Client and display completed work in its portfolio and marketing materials unless the Client requests otherwise in writing for reasonable reasons.

The Client warrants that content it supplies does not infringe third-party rights and bears any claims in this respect.

8. Accounts and third-party platforms

Some services run through external platforms and providers (store platforms, payment, shipping, advertising, social media) governed by their own terms, policies and decisions. The Company is not responsible for their outages, suspensions, policy changes, account closures or ad rejections.

Ad budgets, platform fees, subscriptions, domains, government fees and any third-party costs are borne by the Client unless stated otherwise in writing.

9. No guarantee of results

The Company does not guarantee sales, profits, advertising return, any ranking or any specific commercial outcome, as these depend on factors beyond its control. The Company undertakes to exercise customary professional care in performance.

10. Storage, fulfilment and shipping

Storage and order-fulfilment scope depends on product quantity and size as set out in the written offer.

The Client is responsible for the legality of its goods and the accuracy of their data and specifications. The Company does not accept prohibited or unlawful goods and may refuse to store or ship them and return them at the Client’s expense.

Shipping companies are independent third parties. The Company is not liable for their delay, loss or damage; where its direct fault is established, liability is limited as set out in these Terms. The Client should insure its goods where needed.

The Company has a lien over goods until all dues are paid.

11. Monthly Subscription

The Monthly Subscription renews automatically each month unless terminated under these Terms.

To terminate, the Client gives written notice at least 30 days before the renewal date; the fee for the current month is not refunded.

The Company defines the scope it takes over and manages after studying the project, and is not responsible for any aspect not agreed in writing.

12. Golden Guarantee

The Golden Guarantee is for Monthly Subscription clients only and does not apply to the Complete Foundation Package or any standalone service. It is subject to its terms in the Golden Guarantee section of the website, which form part of these Terms.

The guarantee lapses on late payment, breach of the Terms or unauthorized intervention in the store or accounts.

13. Confidentiality

Both parties shall keep non-public information learned through the engagement confidential and use it only for the service. This obligation survives termination, except where required by law or competent authorities.

14. Limitation of liability

The Company is in no event liable for indirect, consequential or incidental damages, lost profits or opportunities, or loss of data or reputation.

The Company’s total liability for any claim arising from the services is limited to the amounts the Client actually paid for the service giving rise to the claim during the three months before the claim, and for subscriptions capped at one monthly fee.

No claim notice is accepted after 30 days from the event or from the Client’s knowledge of it.

15. Indemnity

The Client shall indemnify and hold harmless the Company and its staff against any claims, losses, fines and costs (including legal fees) arising from its content, goods, breach of law or these Terms, or unlawful use of deliverables.

16. Force majeure

The Company is not in breach if performance is prevented or delayed by circumstances beyond its control, such as disasters, epidemics, government decisions, internet or cloud outages, platform failures and cyber-security incidents, and timelines extend by the duration of the event.

17. Termination

The Company may terminate or suspend services immediately upon the Client’s breach of payment or these Terms or use of the services for unlawful activity, without prejudice to its right to claim what is due.

Either party may terminate for the other’s material breach not remedied within 15 days of written notice.

Upon termination the Company is entitled to the value of work completed and costs committed to date; provisions that by nature survive, such as ownership, confidentiality, indemnity and limitation of liability, continue.

18. Non-solicitation

The Client shall not solicit, hire or contract directly or indirectly any of the Company’s staff during the engagement and for 12 months after it ends.

19. Governing law and disputes

These Terms and any relationship with the Company are governed by the laws of the Kingdom of Saudi Arabia.

The parties shall first try to settle any dispute amicably within 30 days of written notice; failing that, the competent judicial authorities in the Kingdom of Saudi Arabia in the Eastern Province have jurisdiction.

20. General

Official notices are sent in writing to info@iceagency.sa or to the Client’s email on record.

These Terms together with the written contract or offer are the entire agreement; if part is invalid the rest remains in force, and the Company’s non-exercise of a right is not a waiver.

The Client may not assign its rights or obligations without the Company’s written consent.

The Company may amend these Terms at any time; they apply to new orders from publication and to current subscriptions after notice of the amendment.

The Arabic text prevails if translations differ.
